Given that AGF recently underwent a significant transition, with Serge Gendron handing over the presidential position to his son, Maxime Gendron, we decided to ask Serge about his new role. <\/p>\n

Could you tell us more about the role of Executive Chairman of the Board of Directors?<\/strong><\/p>\n

“First, let me explain the concept of a Board of Directors. The members of this Board are appointed by the shareholders to represent them and ensure that management fulfills its role in effectively pursuing the company’s mission and vision. Among other things, the Board ensures that the company’s culture is preserved, that its strategic plan is implemented, that succession planning and budget management are carried out, and that risks are properly managed.<\/p>\n

The difference between a “President” and an “Executive Chairman of the Board of Directors” is that the former is an integral part of management and not an independent member of the Board.<\/p>\n

In addition to supporting Maxime and the entire management team in this new context, I will continue to dedicate my time in international development and in improving our ESG practices and policies, as well as supporting acquisition projects wherever they may be.<\/p>\n

As Executive Chairman of the Board of Directors, I am responsible for chairing Board meetings and those of certain Board committees.<\/p>\n

In short, my role is changing, but I remain 100% committed to AGF.”<\/p>\n

¿Podría explicarnos qué significa exactamente el cargo de Presidente Ejecutivo del Consejo de Administración?<\/strong><\/p>\n

“<\/strong>Primero, me gustaría explicar el concepto de ‘Consejo de Administración’. Los accionistas nombran a los miembros de este Consejo para que los representen y para asegurarse de que la dirección desempeñe plenamente su papel para llevar a cabo eficazmente la misión y la visión de la empresa. El Consejo se asegura, entre otras cosas, de la protección de la cultura de la empresa, de la aplicación de su plan estratégico, de la planificación de la sucesión, de la gestión presupuestaria y de una gestión adecuada de los riesgos.<\/p>\n

La diferencia entre un ‘Presidente Ejecutivo’ del Consejo y un ‘Presidente del Consejo’ es que el Presidente Ejecutivo forma parte integrante de la dirección y no es un miembro independiente del Consejo.<\/p>\n

Además de apoyar a Maxime y a todo el equipo directivo en este nuevo contexto, seguiré dedicándome al desarrollo internacional y al perfeccionamiento de nuestras prácticas y políticas ESG, y también apoyaré los proyectos de adquisición dondequiera que se encuentren.<\/p>\n

Como Presidente Ejecutivo del Consejo, tengo la responsabilidad de presidir las reuniones del Consejo y de algunos de sus comités.<\/p>\n
