Change in governance structure

On March 15, AGF Group bought back the shares held by the Fonds de Solidarité FTQ and Investissement Québec, whose investment had reached maturity.

As a result of this transaction, there are changes to the company’s governance.

The Board of Directors has been replaced by an Advisory Committee, with two sub-committees: the Human Resources and Compensation Committee and the Audit Committee.

Its members are Christiane Bergevin, Richard Cacchione, Philippe Duval, Gary Mintz, Annie Veilleux, Catherine Gendron, Maxime Gendron and myself .

As the Committee has no legal responsibility, it can devote much more time to assisting the company in its decision making and much less time to receiving and approving reports.

This streamlined structure allows us to delve into details of certain issues, most of them chosen by management. Needless to say the shareholders’ representatives greatly appreciate the opinions, comments and advice of these experienced people. In addition, the new Advisory Committee will continue to ensure that the Group’s management adopts best practices in social, financial, health and safety, environmental, equity and efficiency matters.

Cambio en la estructura de gobierno

El pasado 15 de marzo, Grupo AGF procedió a la adquisición de las acciones poseídas por “Fond de Solidarité FTQ” y por “Invetissement Québec”, cuya inversión había alcanzado su madurez. Por lo tanto, esta transacción aporta cambios en la gobernanza. El Consejo de Administración será reemplazado por un Comité Asesor con dos subcomités: el Comité de Recursos Humanos y Remuneración, y el Comité de Auditoría.

Los miembros son Christiane Bergevin, Richard Cacchione, Philippe Duval, Gary Mintz, Annie Veilleux, Catherine Gendron, Maxime Gendron y yo.

Al no tener responsabilidad legal, el Comité pasará mucho más tiempo ayudando a la empresa en sus tomas de decisión y mucho menos tiempo recibiendo y aprobando informes.

Esta estructura aligerada permitirá entrar en los detalles de ciertos expedientes, elegidos la gran parte del tiempo por la dirección. Es evidente que las opiniones, comentarios y consejos provenientes de estas personas de gran experiencia serán bien aceptados por los representantes de los accionistas. Asimismo, los miembros del nuevo Comité Asesor continuarán asegurándose de que la dirección del Grupo se adhiera a las mejores prácticas tanto en el ámbito social, financiero, de salud y seguridad, de medio ambiente, de equidad y de eficacia.
